Terminus is looking for a Corporate Counsel to join our legal team. We are looking for a dynamic service-oriented professional with law firm and in-house experience, specific SaaS & ad-tech expertise, and experience working alongside other legal and business professionals on various projects.  Privacy (GDPR & CCPA), M&A, employment, and corporate transactional experience preferred. The Corporate Counsel will: (1) be responsible for managing day to day legal projects and tasks; (2) review and draft a wide variety of commercial contracts related to Company operations, working closely with various internal departments to ensure all Company obligations under such contracts are met in a timely fashion; (3) monitor the policies and practices of the Company to ensure legal and regulatory compliance, including but not limited to GDPR & CCPA, and (4) assist with the identification and analysis of risks to the business. This role reports to the CFO and has the opportunity to advance to a General Counsel role upon an opening being available.

Responsibilities
  • Follow and execute on day-to-day direction provided by our executive team
  • Review, interpret, and understand Company obligations under its various contracts and arrangements
  • Draft, revise, negotiate, approve and give counsel on a variety of different contracts for all business departments, including pre and post-sale contracts, marketing, partnerships, technology, HR, and the executive team
  • Be able to explain contract terms, conditions, rights, and obligations to legal and business personnel and make recommendations with respect to contract terms; ability to identify potential risks and legal issues, seeking and relying on prior experience and judgment with respect to appropriate risk identification and mitigation for the Company 
  • Consulting with management, internal business clients, accountants and marketing staff on legal issues, including mergers & acquisitions, litigation, employment issues, and transactional matters 
  • Assist with the development and management of central tracking system for all contracts, including expiration dates, renewals, options and other significant rights and obligations 
  • Research jurisdictional tax and legal compliance standards and assist with entity formation, structure, and maintenance 
  • Assist in the development and maintenance of the company’s risk and compliance programs, gathering and organizing information 
  • Construct and complete audits of the company’s internal standards and regulatory requirements, e.g. data privacy 
  • Work collaboratively and professionally with all members of the Company and third parties 
  • Adhere to and support standards and goals of Legal Department
