Corporate Counsel Transactional at Reactivate

This Corporate Counsel – Transactional hire will join Reactivate as its second attorney and as the third member of its growing legal team. The position will support the General Counsel and the broader business teams on contracting, governance matters, compliance and other broad-based transactional support, in each case, in connection with Reactivate’s community solar and other green technology projects in the United States.

Responsibilities ⚙️

• Commercial Contracts:
  • Draft, review and negotiate a wide range of commercial contracts, including consulting agreements, NDAs, and supplier agreements
• Key Commercial Transactions:
  • Provide legal support on project financings, including debt and tax equity financings
  • Support strategic initiatives, including joint ventures, M&A transactions, and other key corporate transactions
  • Act as lead transactional counsel for solar engineering, procurement and construction contracts
• Regulatory:
  • Assist with researching and advising on incentive opportunities, including tax credit availability under the Inflation Reduction Act (IRA)
  • Provide legal advice on regulatory compliance, including industry-specific regulations (e.g., FERC compliance)
• Day-to-Day Legal Support:
  • Manage outside counsel efficiently and effectively when needed
  • Lead various corporate legal tasks, including preparing corporate resolutions, maintaining books and records, and coordinating signatures
  • Assist the General Counsel on litigation and compliance matters when necessary
  • Work closely with internal stakeholders to provide day-to-day legal advice

Requirements 🎓

• Juris Doctor, licensed to practice law and in good standing in at least one US State (IL, CO or NY preferred)
• A high attention to detail and strong organizational, time management, and oral and written communication skills
• Proficiency in drafting and reviewing commercial contracts
• Experience in the renewables industry, construction industry, corporate practice at a law firm, and/or experience as an in-house transactional attorney preferred
• Proficiency in Microsoft Office products, including Word, Excel, Outlook and PowerPoint
• Ability to work remotely, independently, and collaboratively
